	Thanks for the help, sure enough it worked like a charm.  Updated the kernel to 2.2.16 and ran through the ROM updated without issue.  Thanks again.

You need to update your kernel to something resembling recent before it 
can work. 2.2.12 is ANCIENT, and did not support mmap() of /dev/mem
